Terms of use
1. Who we are
Dossalys is an online service operated by Marc-André Simoneau, doing business as Dossalys, Saint-Jean-sur-Richelieu, Quebec ("Dossalys", "we"). Clara is the virtual assistant built into the service. Contact: [email protected]. "You" or "the broker" means the person who opens a Dossalys account for their real estate brokerage business. The service is for professionals only.
2. The service
With your authorization, Clara reads (read-only) the emails and attachments of the Gmail account you connect, recognizes transaction documents, renames and files them in the OneDrive or Google Drive you connect, uploads them to the Prospects (Centris) document manager with your own session if you turn this on, and shows you a dossier dashboard with summaries and notices. Clara never deletes, archives or sends email on your behalf. Creating a listing or a promise to purchase in Prospects always requires your click.
3. Account and security
You provide accurate information and keep your password confidential. Two-factor authentication is offered and recommended. You are responsible for all activity under your account. One account is for one broker and may not be shared.
4. Prices, payment and cancellation
- Subscription: $149 per month per broker, or $1,490 per year, paid in advance by card through Stripe. Taxes (GST and QST) extra. No setup fee.
- No contract: cancel anytime from "Billing"; cancellation takes effect at the end of the paid period. Started periods are not refunded, unless the law requires it.
- Assisted setup (optional): $500, paid in advance, covering up to 3 hours of help. Additional time, if needed and approved by you, is billed at $85 to $100 per hour. Once the session has taken place, assisted setup is non-refundable.
- AI included: Gemini costs are included for reasonable use, about $10 of AI costs per month per broker. You are notified at 80%. Beyond 100%, Clara files without AI the documents she recognizes and leaves the others in "To do" until the next month; we may offer you a suitable plan.
- Non-payment: Stripe sends reminders. After a 14-day grace period, Clara's work is suspended, without deleting your data.
- We may change prices with at least 30 days' written notice; you may cancel before the change applies.
5. Your responsibilities
Clara is an assistance tool and can make mistakes. You check what is filed and what is sent to Prospects. You remain solely responsible for your professional obligations, including toward the OACIQ (records, registers, document retention, deadlines and client communications). The service gives no legal, tax or professional advice.
6. Third-party accounts
You warrant that you have the right to connect each account and to let Clara act in it for you, in compliance with the terms of those services, your agency and Centris. Prospects offers no official access for this kind of tool; Clara acts with your session. You type your Centris password yourself in a secure window that passes it straight to Prospects; we never store it. You accept the risk that Centris restricts, suspends or changes this access. These services are outside our control. You indemnify us against any third-party claim (including Centris, your agency or your clients) arising from your use of the service in breach of these terms or of third-party terms.
7. Personal information
You are responsible for your clients' personal information; Dossalys processes it only to provide the service, as your agent under section 18.3 of Quebec's Act respecting the protection of personal information in the private sector. The data processing agreement is part of these terms. See our privacy policy.
8. Acceptable use, availability, intellectual property
No illegal use, no documents unrelated to your brokerage business, no attempt to access another account. We make reasonable efforts to keep the service available, without guarantee of uninterrupted or error-free operation. Your documents and data are yours; the Dossalys software and Clara are ours, and you receive a non-exclusive right of use during your subscription.
9. Limitation of liability
To the extent permitted by law, our total liability for any cause is limited to the amounts you paid us in the 12 months before the event. We are not liable for indirect damages, including lost income, commissions, clients or data, or the consequences of a misfiled document you did not check. This limit does not apply to bodily or moral injury, or to damage caused by our intentional or gross fault (article 1474 of the Civil Code of Québec).
10. End of service and your data
You can export your data and delete your account from "My data". We may terminate an account with 30 days' notice, or without notice for serious breach or non-payment after suspension. After cancellation or termination, your data is deleted from our systems within 30 days (90 days for backups). Documents filed in your OneDrive or Drive stay there.
11. Custom automations, changes, governing law
Custom automations are covered by a written quote per project. We notify you by email at least 30 days before a material change to these terms; you may cancel without charge before it takes effect. These terms are governed by the laws of Quebec and the applicable laws of Canada; the courts of the judicial district of Iberville have jurisdiction. The French version prevails.
